Les présentes Conditions Générales de Vente (ci-aprÚs les « CGV ») définissent les droits et obligations de la société OLYMPE COMPANY LIMITED et de toute personne physique ou morale souhaitant acquérir les produits et services proposés à la vente par le Vendeur moyennant paiement. Ces CGV régissent leur relation contractuelle et sont consultables sur le Site https://www.kendyjohnb.com/ (ci-aprÚs le « Site » ou « Kendy JOHN B »).
Article 1. LE VENDEUR
Les prĂ©sentes CGV sont applicables Ă la vente des produits et services proposĂ©s par la sociĂ©tĂ© OLYMPE COMPANY LIMITED, sociĂ©tĂ© par actions simplifiĂ©e Ă associĂ© unique spĂ©cialisĂ©e dans le commerce de dĂ©tail, ayant son siĂšge social situĂ© 66 avenue des Champs ĂlysĂ©es - 75008 PARIS, inscrite au RCS de Paris sous le numĂ©ro 905 063 368.
Article 2. LE DOMAINE DâAPPLICATION
Ces CGV sâappliquent Ă toutes les ventes conclues par le biais des sites Internet du rĂ©seau de Kendy JOHN B et constituent, avec les factures, les documents contractuels opposables aux Parties et prĂ©valent et annulent tout autre document. Elles sont mises Ă la disposition des Clients et sont directement consultables sur le Site. Elles sont opposables au Client qui reconnaĂźt en avoir eu connaissance et les avoir acceptĂ©es avant de passer commande. La validation dâune Commande implique une acceptation sans rĂ©serve par le Client des CGV.
Kendy JOHN B conserve la possibilité de modifier à tout moment ces CGV afin de respecter toute nouvelle réglementation. Les CGV applicables seront celles en vigueur à la date de la Commande par le Client. Le Client qui ne souhaite pas que les relations contractuelles soient régies par la nouvelle version devra le notifier.
Article 3. LES PRODUITS ET SERVICES
Kendy JOHN B propose des produits et services de coaching et formations dans le domaine général du web et du digital marketing. Plus précisément, Kendy JOHN B propose différentes offres de formations, conseils et méthodes en matiÚre de créations de boutique E-Commerce sur Shopify, d'investissement en cryptomonnaies, de marketing, etc...
Chaque formation est présentée sous forme de pack comprenant les modalités de la formation et est présentée au Client de façon claire et précise accompagnée des informations nécessaires, essentielles et déterminantes telles que les caractéristiques, descriptifs, contenu et modalités ainsi que le prix.
Kendy JOHN B nâaccepte que des Clients de plus de 16 ans (pour les produits numĂ©riques) et de plus de 18 ans (pour les services de coaching, ateliers, formations).
Les photographies présentes sur le Site ne constituent pas un document contractuel.
Article 4. LE PRIX
4.1. Prix de vente.
Les prix de vente sont indiqués sur le Site en Euros toutes taxes comprises et tiennent compte de la T.V.A. applicable au moment de la commande.
En cas dâopĂ©rations commerciales, une rĂ©duction de prix peut ĂȘtre accordĂ©e. En lâabsence de mention en ce sens sur le Site ou dâobtention de code, aucune rĂ©duction ne sera appliquĂ©e.
Kendy JOHN B se réserve le droit de modifier ses prix étant précisé que le prix figurant le jour de la Commande sera le seul applicable au Client.
Dans tous les cas, le montant total dĂ» par le Client est indiquĂ© sur la page de confirmation de Commande. Une facture sera envoyĂ©e Ă lâadresse email renseignĂ©e par le Client.
4.2. Le rĂšglement.
Le rÚglement est exigible à la date de la Commande, y compris pour les produits en précommande.
Le rĂšglement se fait en ligne par carte bancaire ou par Paypal.
Les paiements en ligne sont sĂ©curisĂ©s via Stripe par une procĂ©dure de cryptage des donnĂ©es afin dâĂ©viter le risque dâinterception de ces informations par des tiers mal intentionnĂ©s. Toute garantie quant Ă la sĂ©curitĂ© de ce systĂšme est entiĂšrement de la responsabilitĂ© de la sociĂ©tĂ© Stripe et de Paypal et ne saurait ĂȘtre imputĂ©e Ă Kendy JOHN B.
Le compte bancaire du Client sera dĂ©bitĂ© Ă l'issue de la validation de la Commande et celle-ci sera effective aprĂšs confirmation de lâaccord des centres de paiement bancaires. Le Client garantit quâil est pleinement habilitĂ© Ă utiliser la carte bancaire utilisĂ©e, quâil en soit titulaire ou quâil en ait reçu lâautorisation du titulaire et garantit que le moyen de paiement donne accĂšs Ă des fonds suffisants.
En cas de donnĂ©es erronĂ©es, de compte insuffisamment approvisionnĂ©, les coĂ»ts en rĂ©sultant sont Ă la charge du Client. En cas de refus de la banque, Kendy JOHN B pourra annuler toute Commande ou stopper lâaccĂšs au Produit.
Kendy JOHN B nâest pas responsable en cas dâusage frauduleux du moyen de paiement utilisĂ© par le Client.
4.3. En cas de retard ou d'incident de paiement
En cas de dĂ©faut ou retard de paiement de tout ou partie du prix, et sauf report sollicitĂ© Ă temps et accordĂ© par Ă©crit par Kendy JOHN B de maniĂšre exceptionnelle, toute somme impayĂ©e produira de plein droit et automatiquement des intĂ©rĂȘts de retard au taux dâintĂ©rĂȘt lĂ©gal dĂ©fini par la Banque Centrale EuropĂ©enne majorĂ© de dix (10) points (sans que celui-ci ne puisse ĂȘtre infĂ©rieur Ă trois faux le taux de lâintĂ©rĂȘt lĂ©gal en vigueur en France), sans mise en demeure prĂ©alable et sans prĂ©judice des dommages intĂ©rĂȘts que Kendy JOHN B serait en droit de solliciter.
Pour le Client professionnel, une indemnitĂ© forfaitaire dâun montant de 40 ⏠au titre des frais de recouvrement sera exigible de plein droit.
Kendy JOHN B se rĂ©serve Ă©galement le droit de suspendre l'exĂ©cution des prestations en cours, restreindre lâaccĂšs au Service, demander lâexigibilitĂ© immĂ©diate de toutes les sommes restantes dues par le Client ou empĂȘcher la souscription de nouvelles prestations. Toute suspension n'exonĂšre pas le Client du paiement de la totalitĂ© des sommes dues et des majorations appliquĂ©es
Le Client reconnaĂźt et accepte quâen cas dâincident de paiement et de paiement en plusieurs Ă©chĂ©ances, Kendy JOHN B a la possibilitĂ© de repasser le paiement Ă©chouĂ©, pouvant ainsi lui dĂ©bloquer lâaccĂšs aux Services, sans limitation de durĂ©e.
Article 5. LA COMMANDE
Pour passer commande, le Client peut directement choisir une Formation, lâajouter Ă son panier virtuel et valider sa Commande. Le Client devra ensuite renseigner des informations de contact puis de paiement. Le Client est seul garant de lâexactitude et la validitĂ© des informations renseignĂ©es. Kendy JOHN B ne pourra pas ĂȘtre responsable dâune erreur dans les informations saisies ou de leurs consĂ©quences.
La Commande se forme lors de lâĂ©change des consentements entre les Parties par validation du panier virtuel et toute Commande ne sera valable quâaprĂšs encaissement effectif du paiement.
Article 6. LA LIVRAISON
Pour les produits et services numĂ©riques, ces derniers sont livrĂ©s (mis Ă disposition) de maniĂšre numĂ©rique Ă lâadresse courriel indiquĂ©e par le Client. Le Client sâengage Ă vĂ©rifier la bonne rĂ©ception de ce courriel dans sa boite email ainsi que dans ses spams.
LâaccĂšs se fait par la plateforme sĂ©curisĂ©e Podia et lâaccĂšs est illimitĂ©. Pour se connecter, le Client doit entrer sur la plateforme ses identifiants de connexion quâil sâengage Ă conserver prĂ©cieusement.
Article 7. LE DROIT DE RĂTRACTATION
ConformĂ©ment aux articles L.221-18 du Code de la consommation, les Clients non professionnels bĂ©nĂ©ficient dâun dĂ©lai de 14 (quatorze) jours calendaires Ă compter de la date de rĂ©ception du produit pour annuler la commande et obtenir un remboursement, sans invoquer de motif. Pour se rĂ©tracter, le Client doit envoyer Ă Kendy JOHN B une dĂ©claration dĂ©nuĂ©e d'ambiguĂŻtĂ© exprimant sa volontĂ© de se rĂ©tracter Ă lâadresse mail suivante : kendy@kendyjohnb.com.
Ce droit de rĂ©tractation ne peut pas ĂȘtre mis en Ćuvre dans le cas dâune prestation pleinement exĂ©cutĂ©e avant la fin du dĂ©lai de rĂ©tractation, ni en cas de formation en ligne, produits et logiciels informatiques descellĂ©s par le Client, tĂ©lĂ©chargĂ©, installĂ© ou prĂ© visualisĂ© â mĂȘme partiellement â sur lâordinateur du Client.
Si le Produit ou la formation nâont pas Ă©tĂ© descellĂ©s par le Client dans le dĂ©lai indiquĂ©, et que le Client a respectĂ© la procĂ©dure indiquĂ©e ci-dessus, le Client recevra le remboursement de sa Commande.
En cas de commande passée par un Client professionnel, ce dernier ne bénéficie pas du droit de rétractation prévu par les dispositions du Code de la consommation.
Article 8. LE REMBOURSEMENT
Le Client a la possibilitĂ© de demander un remboursement lorsque le Produit ou Service achetĂ© est couvert par une garantie satisfait ou remboursĂ© indiquĂ©e sur la page de prĂ©sentation. En absence de mention en ce sens, aucune demande de remboursement ne peut ĂȘtre formĂ©e.
Kendy JOHN B se rĂ©serve le droit dâĂ©tudier les motifs dâinsatisfaction transmis et la demande.
La demande de remboursement doit ĂȘtre formulĂ©e par mail Ă lâadresse suivante : kendy@kendyjohnb.com expliquant les motifs dâinsatisfaction. En cas de demande de remboursement approuvĂ©e par Kendy JOHN B, le Client sera remboursĂ©.
Les produits ne mentionnant aucune garantie sur la page de vente ne sont pas remboursables. Il en va de mĂȘme pour les coachings et les sĂ©minaires.
- ModalitĂ©s de remboursement : Si, aprĂšs avoir suivi le programme de maniĂšre active et mis en Ćuvre toutes les stratĂ©gies enseignĂ©es, avoir participĂ© Ă 50 lives en direct et avoir publiĂ© 1 vidĂ©o par jour pendant 180 jours minimum pour la monĂ©tisation TikTok et pour la vente d'offre High Ticket, avoir fait une VSL, eu un minimum de 30 appels de closing, envoyĂ© 500 messages de prospection, publiĂ© un minimum de 180 vidĂ©os., lâĂ©lĂšve nâa pas atteint un chiffre dâaffaires cumulĂ© de 15 000⏠au cours des 12 mois suivant son inscription, il peut demander un remboursement total.
Article 9. LA RĂSOLUTION DE LA VENTE
Kendy JOHN B se rĂ©serve le droit dâannuler toute Commande en cas de manquement du Client aux CGV (incident de paiement, dĂ©livrance dâinformations erronĂ©es).
Le Client est en droit de demander la rĂ©solution de la vente pour les cas mentionnĂ©s aux Articles 7 et 8 sâil respecte les conditions.
Article 10. LES GARANTIES ET OBLIGATIONS
10.1. De Kendy JOHN B
Kendy JOHN B garantit que les Produits et Services proposés sont conformes aux descriptions, spécifications et caractéristiques indiquées sur le Site.
Kendy JOHN B garantit au Client une jouissance paisible des produits et services mais ne garantit pas que le produit ou services soit exempt dâanomalies et que son fonctionnement soit ininterrompu.
Kendy JOHN B sâengage Ă faire le maximum pour proposer un Site et des produits informatiques accessibles sept jours sur sept sauf en cas d'interruption notamment pour des besoins de maintenance ou de force majeure.
Kendy JOHN B sâengage Ă mettre tout en Ćuvre (moyens humains et techniques) pour fournir un service de qualitĂ© et apporter ses meilleurs soins.
Kendy JOHN B sâengage Ă faire de son mieux pour fournir via ses outils et produits des informations prĂ©cises, mais ne saurait en garantir l'exactitude, la complĂ©tude et lâactualisation des informations prĂ©sentĂ©es. La prĂ©sente obligation nâest, de convention expresse, que pure obligation de moyens et non de rĂ©sultat ; le Client ayant sa part de travail Ă effectuer. Les rĂ©sultats dĂ©pendent de la motivation, des aptitudes et du travail du Client.
Kendy JOHN B ne fournit en aucun cas un conseil personnalisĂ© et ne garantit pas un rĂ©sultat exempt de risques ou accessible Ă tous, mais sâengage Ă fournir des moyens, des mĂ©thodes et outils permettant de simplifier lâobtention dâun rĂ©sultat.
Les offres de Kendy JOHN B ne constituent pas une promesse de gain, réussite ou succÚs.
10.2. Du Client
Le Client garantit avoir lâĂąge minimum requis et avoir la capacitĂ© juridique et/ou nĂ©cessaires Ă la conclusion du Contrat (notamment ĂȘtre en mesure de reprĂ©senter la personne physique ou morale pour laquelle il sâengage) pour acheter les Produits en tant que consommateur. Si le client ne remplit pas ce critĂšre dâĂąge, il sera supprimĂ© de la base de donnĂ©es, remboursĂ© et un retour du ou des produits concernĂ©s sera exigĂ©.
Le Client sâengage Ă fournir des informations exactes, prĂ©cises et Ă jour.
Le Client sâengage Ă respecter la lettre de lâarticle relatif Ă la propriĂ©tĂ© intellectuelle et notamment Ă ne jamais revendre la formation reçue.
Le Client déclare avoir les moyens informatiques nécessaires pour accéder aux produits et prestations.
Le Client sâengage Ă faire le maximum pour assimiler et Ă pratiquer les techniques, conseils et stratĂ©gies enseignĂ©s par Kendy JOHN B afin quâils soient en mesure de produire les rĂ©sultats attendus, lesquels sont soumis au travail du Client.
Le Client reconnaĂźt et garantit Kendy JOHN B quâil est conscient que Kendy JOHN B nâest tenue quâĂ une obligation de moyens.
Le Client reconnaßt utiliser les éléments fournis par Kendy JOHN B sous sa responsabilité exclusive.
Le Client reconnaĂźt et accepte que ses Ă©changes tĂ©lĂ©phoniques, Ă©crits ou oraux avec toute personne de chez Kendy JOHN B sont susceptibles d'ĂȘtre enregistrĂ©s et utilisĂ©s Ă des fins commerciales.
Article 11. RESPONSABILITĂ
11.1. La responsabilité de Kendy JOHN B
Kendy JOHN B ne pourra ĂȘtre responsable que du manquement Ă ses obligations prĂ©vues au Contrat (Ă lâexclusion des dommages causĂ©s par une anomalie de fonctionnement non due Ă un fait de Kendy JOHN B).
Kendy JOHN B ne pourra pas ĂȘtre tenue responsable des dommages subis par le Client et causĂ©s par sa nĂ©gligence, son erreur ou faute, par le fait dâun tiers ou par un cas de force majeure ou tous Ă©vĂšnements hors du contrĂŽle raisonnable de Kendy JOHN B.
Les Ă©ventuelles rĂ©parations dues par Kendy JOHN B correspondront au prĂ©judice direct, personnel et liĂ© Ă la dĂ©faillance et, compte tenu de son obligation de moyens, Kendy JOHN B ne rĂ©parera pas tout dommage indirect (prĂ©judice commercial, perte de bĂ©nĂ©fices escomptĂ©s ou de donnĂ©es, perte de gain ou de profit, Ă©chec dâune opĂ©ration, etc.) ou rĂ©sultant de lâutilisation des connaissances enseignĂ©es par le Client.
Kendy JOHN B ne pourra pas non plus ĂȘtre tenue responsable des dommages, prĂ©judices, dĂ©bours, matĂ©riel subis par le Client Ă la suite de lâutilisation ou Ă lâinterprĂ©tation des solutions proposĂ©es Kendy JOHN B.
Kendy JOHN B ne pourra pas non plus ĂȘtre tenue responsable en cas de non rĂ©ception de courriels de livraison dĂ» au systĂšme de protection anti spam du Client ou de mauvais renseignements fournis comme une adresse email erronĂ©e.
En tout Ă©tat de cause, si la responsabilitĂ© de Kendy JOHN B Ă©tait engagĂ©e, le montant des dommages et intĂ©rĂȘts sera limitĂ© au montant des sommes versĂ©es par le Client.
11.2. La responsabilité de Kendy JOHN B relative à Internet
Le Client est informĂ© que la connexion aux produits informatiques et services sâeffectue via le rĂ©seau Internet. Il est averti des alĂ©as techniques qui peuvent affecter ce rĂ©seau (et qui lui sont inhĂ©rents) et entraĂźner des ralentissements ou des indisponibilitĂ©s rendant la connexion impossible. Kendy JOHN B ne peut ĂȘtre tenu responsable des difficultĂ©s dâaccĂšs ou Ă©ventuelles indisponibilitĂ©s ou ralentissements dus Ă des perturbations du rĂ©seau internet, ce que le Client reconnaĂźt.
11.3. La responsabilité du Client
Le Client est seul responsable de lâexactitude et de la complĂ©tude des informations quâil communique.
Le Client est seul responsable de lâutilisation, de lâapplication et de lâinterprĂ©tation des solutions proposĂ©es et connaissances enseignĂ©es par Kendy JOHN B.
Le Client est responsable de la réalisation des objectifs définis et seul responsable des risques inhérents à ses choix.
11.4. Le cas de la force majeure
Aucune des Parties nâest responsable pour tout retard, inexĂ©cution ou dommages dus Ă un cas de force majeure (tout Ă©vĂ©nement imprĂ©visible, irrĂ©sistible et extĂ©rieur aux Parties et tels quâinterprĂ©tĂ©s par la jurisprudence française). Câest par exemple le cas lorsque l'exĂ©cution du Contrat est empĂȘchĂ©e du fait d'incendie, explosion, dĂ©faillance des rĂ©seaux de transmission, effondrement des installations, Ă©pidĂ©mie, panne d'Ă©lectricitĂ©, demande ou exigence de tout gouvernement, grĂšve, boycott ou autre circonstance hors du contrĂŽle raisonnable des Parties.
Les Parties s'informent mutuellement et par Ă©crit de la survenance dâun cas de force majeure et collaboreront pour en limiter les consĂ©quences et la durĂ©e.
Article 12. LE SERVICE CLIENT
Pour toute question ou aide, le Client peut contacter Kendy JOHN B par message sur Instagram ou par mail Ă lâadresse : kendy@kendyjohnb.com.
Article 13. LA PROPRIĂTĂ INTELLECTUELLE
Les utilisateurs du Site ou les Clients reconnaissent et acceptent que tout droit dâauteur, toute marque dĂ©posĂ©e et tout autre droit de propriĂ©tĂ© intellectuelle portant sur le contenu figurant sur le Site et les Produits et Services proposĂ©s, sont et seront, Ă tout moment, la propriĂ©tĂ© exclusive de Kendy JOHN B, qui en conserve lâintĂ©gralitĂ© des droits.
Kendy JOHN B demeure titulaire des droits dâauteur et propriĂ©taire exclusif du contenu de ses formations, de ses outils, mĂ©thodes, logiciels, procĂ©dĂ©s techniques ou savoir-faire mis en Ćuvre.
Tous les Ă©lĂ©ments remis ou envoyĂ© au Client sont communiquĂ©s dans le cadre dâune licence, dâun droit dâutilisation non exclusif du logiciel dans le but de permettre au Client dâutiliser le logiciel conformĂ©ment Ă sa destination et pour ses besoins.
La reproduction, copie, impression, représentation, intégrale ou partielle, de tout ou partie des éléments par quelques procédés et sur quelques supports que ce soit, est formellement interdite, et constitue, sans autorisation préalable écrite une contrefaçon engageant la responsabilité civile et pénale de son auteur.
Le Client sâinterdit de reproduire en totalitĂ© ou en partie, modifier, compiler, dĂ©compiler, transfĂ©rer, vendre, louer, sous-licencier ou diffuser un ou tous les Ă©lĂ©ments ou formations sous peine de poursuites judiciaires.
Le Client sâinterdit Ă©galement de communiquer ses identifiants personnels de connexion Ă lâespace membre Ă un tiers, sous peine de poursuites judiciaires de la part de Kendy JOHN B.
Article 14. LA PROTECTION DES DONNĂES PERSONNELLES
Les dispositions concernant la protection des données personnelles telles que issues de la Loi Informatique et Libertés en date du 6 janvier 1978 et modifiée par le RÚglement européen sur la protection des données personnelles (RGPD) figurent dans la Politique de confidentialité du Site.
Article 15. LITIGES - DROIT APPLICABLE
Le présent Contrat ainsi que les relations entre les Parties sont régies et interprétées conformément au droit français.
En cas de litige ou de diffĂ©rends qui pourraient survenir sur lâinterprĂ©tation, lâexĂ©cution ou lâinexĂ©cution des prĂ©sentes conditions, le Client sâadressera en prioritĂ© Ă Kendy JOHN B pour obtenir une solution amiable. Ă dĂ©faut, le litige sera soumis Ă lâapprĂ©ciation du tribunal compĂ©tent.

You are solely responsible for the activity that occurs on your Account, and for keeping your Account password secure. Please note that any payment terms presented to you in the process of using or signing up for a Paid Service are deemed part of this Agreement. B. Billing. We use a third-party payment processor (the âPayment Processorâ) to bill you through a payment account linked to your Account on the Services (your âBilling Accountâ) for use of the Paid Services. The processing of payments will be subject to the terms, conditions and privacy policies of the Payment Processor in addition to these Terms of Service. We are not responsible for error by the Payment Processor. By choosing to use Paid Services, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any use of such Paid Services in accordance with the applicable payment terms and you authorize us, through the Payment Processor, to charge your chosen payment provider (your âPayment Methodâ). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that it makes even if it has already requested or received payment. C. Any agreement you have with your payment provider will govern your use of your Payment Method. Unless you opt out of auto-renewal, which can be done through your Account settings at https://app.podia.com/account/billing, any subscription-based Services you have signed up for will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected, at the then-current non-promotional rate. To change or resign your Subscription Services at any time, go to https://app.podia.com/account/billing. If you terminate a subscription-based Service, you may use your subscription until the end of your then-current term; your subscription will not be renewed after your then-current term expires. However, you wonât be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. H. Reaffirmation of Authorization. Your non-termination or continued use of a Paid Service reaffirms that we are authorized to charge your Payment Method for that Paid Service. We may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the Paid Service. I. Free Trials and Other Promotions. Any free trial or other promotion that provides access to a Paid Service must be used within the specified time of the trial. You must stop using a Paid Service before the end of the trial period in order to avoid being charged for that Paid Service. If you cancel prior to the end of the trial period and are inadvertently charged for a Paid Service, please contact us at hello@podia.com. 9) Warranty and Other Disclaimers. A. We have no special relationship with or fiduciary duty to you. You acknowledge that we have no duty to take any action regarding: i. which users gain access to the Services; ii. what Content you access via the Services; or iii. how you may interpret or use the Content. B. You release us from all liability for you having acquired or not acquired Content through the Services. We make no representations concerning any Content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, or legality of material or Content contained in or accessed through the Services. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defenses. 12) ARBITRATION CLAUSE AND CLASS ACTION WAIVER â IMPORTANT â PLEASE REVIEW AS THIS AFFECTS YOUR LEGAL RIGHTS: A. ARBITRATION; CLASS ACTION WAIVER. YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND PODIA OR ITS OFFICERS, DIRECTORS OR EMPLOYEES IN THEIR CAPACITY AS SUCH (WHETHER OR NOT SUCH DISPUTE INVOLVES A THIRD PARTY) WITH REGARD TO YOUR RELATIONSHIP WITH PODIA, INCLUDING WITHOUT LIMITATION DISPUTES RELATED TO THESE TERMS OF SERVICE, YOUR USE OF THE SERVICES, AND/OR RIGHTS OF PRIVACY AND/OR PUBLICITY, WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION IN ACCORDANCE WITH THE STREAMLINED ARBITRATION RULES AND PROCEDURES OF JAMS, INC. THEN IN EFFECT, AND YOU AND PODIA HEREBY EXPRESSLY WAIVE TRIAL BY JURY; PROVIDED, HOWEVER, THAT TO THE EXTENT THAT YOU HAVE IN ANY MANNER VIOLATED OR THREATENED TO VIOLATE PODIAâS INTELLECTUAL PROPERTY RIGHTS, WE MAY SEEK INJUNCTIVE OR OTHER APPROPRIATE RELIEF IN ANY STATE OR FEDERAL COURT IN THE STATE OF NEW YORK. DISCOVERY AND RIGHTS TO APPEAL IN ARBITRATION ARE GENERALLY MORE LIMITED THAN IN A LAWSUIT, AND OTHER RIGHTS THAT YOU AND PODIA WOULD HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION. AS AN ALTERNATIVE, YOU MAY BRING YOUR CLAIM IN YOUR LOCAL âSMALL CLAIMSâ COURT, IF PERMITTED BY THAT SMALL CLAIMS COURTâS RULES AND IF WITHIN SUCH COURTâS JURISDICTION, UNLESS SUCH ACTION IS TRANSFERRED, REMOVED OR APPEALED TO A DIFFERENT COURT. YOU MAY BRING CLAIMS ONLY ON YOUR OWN BEHALF. NEITHER YOU NOR PODIA WILL PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION FOR ANY CLAIMS COVERED BY THIS AGREEMENT TO ARBITRATE. YOU ARE GIVING UP YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST PODIA INCLUDING ANY RIGHT TO CLASS ARBITRATION OR ANY CONSOLIDATION OF INDIVIDUAL ARBITRATIONS. You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another personâs account, if Podia is a party to the proceeding. This dispute resolution provision will be governed by the Federal Arbitration Act and not by any state law concerning arbitration. In the event JAMS, Inc. is unwilling or unable to set a hearing date within one hundred and sixty (160) days of filing the case, then either Podia or you can elect to have the arbitration administered instead by the American Arbitration Association. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. The arbitration shall be conducted in the English language. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies or awards that conflict with these Terms of Service. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of the Services or these Terms of Service must be filed within one (1) year after such claim of action arose or be forever banned. B. 30-Day Opt-Out Period. If you do not wish to be bound by the arbitration and class-action waiver provisions in this Section 15, you must notify Podia in writing within 30 days of the date that you first accept these Terms of Service (unless a longer period is required by applicable law). Your written notification must be mailed to Podia at the following address: 198 East 7th St., Apt. 8, New York, NY 10009. If you do not notify Podia in accordance with this Section 15(b), you agree to be bound by the arbitration and class-action waiver provisions of these Terms of Service, including such provisions in any Terms of Service revised after the date of your first acceptance. Such notification must include: (i) your name; (ii) your email and mailing addresses and (iii) a statement that you do not wish to resolve disputes with Podia through arbitration. If Podia makes any changes to the Arbitration and Class Action Waiver section of these Terms of Service (other than a change to the address at which we will receive notices of dispute, opt-out notices, or rejections of future changes to the Arbitration and Clause Action Waiver section), you may reject any such change by sending Podia written notice within 30 days of the change to the address set forth in this Section 15(b). This notification affects these Terms of Service only; if you previously entered into other arbitration agreements with Podia or enter into other such agreements in the future, your notification that you are opting out of the arbitration provision in these Terms of Service shall not affect the other arbitration agreements between you and Podia. C. Severability. If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration and Class Action Waiver section will be null and void. This arbitration agreement will survive the termination of your relationship with Podia. 13) Limitation of Liability. IN NO EVENT SHALL WE, NOR OUR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES (I) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, COMPENSATORY OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (HOWEVER ARISING), (II) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION), OR (III) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) OF the greater of (A) fees paid to us for the particular Services during the immediately previous three (3) month period or (B) $500.00. 14) Governing Law and Jurisdiction. These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, including its conflicts of law rules, and the United States of America. You agree that any dispute arising from or relating to the subject matter of these Terms of Service shall be governed by the exclusive jurisdiction and venue of the state and Federal courts of New York County, New York. 15) Modification. We reserve the right, in our sole discretion, to modify or replace any of these Terms of Service, or change, suspend, or discontinue the Services (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the Site or by sending you notice through the Services, via e-mail or by another appropriate means of electronic communication. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. While we will timely provide notice of modifications, it is also your responsibility to check these Terms of Service periodically for changes. Your continued use of the Services following notification of any changes to these Terms of Service constitutes acceptance of those changes, which will apply to your continued use of the Services going forward. Your use of the Services is subject to the Terms of Service in effect at the time of such use. 16) Miscellaneous. A. Entire Agreement and Severability. These Terms of Service (including, for clarity, the Privacy Policy and, where applicable, the EU Data Processing Addendum) are the entire agreement between you and us with respect to the Services, including use of the Site, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and us with respect to the Services. If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Service will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. B. Force Majeure. We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation. C. Assignment. These Terms of Service are personal to you, and are not assignable, transferable or sublicensable by you except with our prior written consent. We may assign, transfer or delegate any of our rights and obligations hereunder without consent. D. Agency. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Service and neither party has any authority of any kind to bind the other in any respect. E. Notices. Unless otherwise specified in these Terms of Service, all notices under these Terms of Service will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service. Electronic notices should be sent to hello@podia.com. F. No Waiver. Our failure to enforce any part of these Terms of Service shall not constitute a waiver of our right to later enforce that or any other part of these Terms of Service. Waiver of compliance in any particular instance does not mean that we will waive compliance in the future. In order for any waiver of compliance with these Terms of Service to be binding, we must provide you with written notice of such waiver through one of our authorized representatives. G. Headings.
